These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Zontrivexa LLC ("Zontrivexa," "Company," "we," "us," or "our"), a limited liability company registered in the State of Colorado.

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. We reserve the right to modify these Terms at any time, and it is your responsibility to review them periodically. Continued use of our Services after modifications constitutes acceptance of the revised Terms.

2. Eligibility

To use our Services, you must be at least 18 years of age and capable of forming a binding contract. By using our Services, you represent and warrant that you meet these eligibility requirements. For solar panel installation services, you must be the legal owner of the property or have written authorization from the property owner to authorize installation work. You must also have the legal right to modify the property's roofing and electrical systems.

3. Services Description

Zontrivexa provides the following services:

• Solar Consultation: Free home energy assessments, roof evaluations, and personalized solar system design recommendations
• Solar Panel Sales: Sale of monocrystalline, polycrystalline, and thin-film solar panels, inverters, mounting hardware, and related components
• Installation Services: Professional installation of solar energy systems, including mounting, wiring, electrical connections, and system commissioning
• Permitting Assistance: Assistance with obtaining necessary building permits, utility interconnection agreements, and regulatory compliance documentation
• Monitoring Services: Access to our solar monitoring application for real-time tracking of energy production and system performance
• Maintenance and Support: Ongoing system maintenance, cleaning services, repair services, and customer technical support
• Savings Calculator: Online tools providing estimated energy savings based on user-provided data (estimates are for informational purposes only)

4. Quotes and Pricing

All quotes provided by Zontrivexa are estimates based on the information available at the time of assessment. Final pricing may vary based on:

• Actual site conditions discovered during detailed roof and electrical inspections
• Changes in equipment costs or availability
• Additional work required due to unforeseen structural, electrical, or permitting requirements
• Customer-requested modifications to the original system design
• Changes in applicable taxes, tariffs, or regulatory fees

Quotes are valid for 30 days from the date of issuance unless otherwise stated in writing. Zontrivexa reserves the right to adjust pricing if significant changes in material costs or regulatory requirements occur before contract execution. All prices are quoted in US dollars and do not include applicable taxes unless explicitly stated.

5. Payment Terms

Payment terms are outlined in each individual installation contract. General payment terms include:

• A deposit of up to 25% of the total project cost may be required upon contract signing
• Progress payments may be required at specified project milestones as outlined in your contract
• Final payment is due upon completion of installation and successful system activation
• We accept payment by credit card, bank transfer, check, and approved financing arrangements
• Late payments may incur a service charge of 1.5% per month on outstanding balances
• For financed purchases, payment terms are governed by the financing agreement between you and the financing provider

6. Installation Terms

By engaging Zontrivexa for installation services, you agree to the following:

• You will provide safe and reasonable access to the installation site, including roof access, attic access, and electrical panel access
• You will ensure the installation area is free from hazards and obstructions
• You are responsible for disclosing any known roof damage, structural issues, or electrical problems prior to installation
• Installation timelines are estimates and may be affected by weather, permitting delays, utility scheduling, or supply chain disruptions
• Minor cosmetic imperfections resulting from the installation process (such as small mounting holes) are inherent to rooftop solar installations and are not considered defects
• You authorize Zontrivexa to apply for necessary permits and utility interconnection on your behalf
• You will not operate, modify, or tamper with the solar system or its components except as instructed in the user documentation

7. Warranties

7.1 Product Warranty

Solar panels sold by Zontrivexa are covered by the original manufacturer's warranty, which typically includes a 25-year performance warranty guaranteeing that panels will produce at least 80% of their rated output after 25 years, and a 10-12 year product warranty covering manufacturing defects in materials and workmanship.

7.2 Workmanship Warranty

Zontrivexa provides a 25-year workmanship warranty on all installations performed by our certified technicians. This warranty covers defects in installation workmanship, including roof penetrations, mounting system integrity, wiring connections, and inverter installation. This warranty does not cover damage caused by natural disasters, vandalism, unauthorized modifications, or normal wear and tear.

7.3 Warranty Exclusions

Warranties do not cover damage resulting from acts of nature (including lightning, hurricanes, tornadoes, earthquakes, floods, or hail exceeding 2 inches in diameter), unauthorized modifications or repairs, neglect or failure to perform recommended maintenance, damage from falling objects or wildlife, power surges caused by utility grid events, or use of the system beyond its designed specifications.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Zontrivexa and its officers, directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption
• Damages arising from the use or inability to use our website, tools, or calculator estimates
• Any inaccuracies in savings estimates, energy production projections, or ROI calculations, as these are provided for informational purposes only and depend on numerous variable factors
• Delays in installation caused by weather, permitting authorities, utility companies, or supply chain disruptions beyond our reasonable control
• Changes in tax laws, incentive programs, or electricity rates that may affect projected savings

In no event shall Zontrivexa's total cumulative liability exceed the total amount paid by you for the specific service giving rise to the claim. This limitation applies regardless of the theory of liability, whether based on contract, tort, negligence, strict liability, or otherwise.

9. Disclaimer of Warranties

Our Website and online tools, including the savings calculator and ROI estimator, are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Zontrivexa does not warrant that the Website will be uninterrupted, error-free, or free from viruses or other harmful components. Savings estimates and energy projections are approximations based on user input and general assumptions and should not be relied upon as guaranteed results.

10. Intellectual Property

All content on the Zontrivexa website, including text, graphics, logos, images, illustrations, software, audio clips, video clips, and the compilation thereof, is the property of Zontrivexa or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The Zontrivexa name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Zontrivexa LLC. You may not use these marks without our prior written permission. You are granted a limited, non-exclusive, non-transferable license to access and use the Website for personal, non-commercial purposes.

11. User Conduct

When using our Website and Services, you agree not to:

• Provide false, misleading, or inaccurate information in forms, applications, or communications
• Use the Website for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Website, server, or connected systems
• Interfere with the proper functioning of the Website through the use of viruses, bots, or other harmful technology

12. Cancellation and Refunds

Cancellation policies are as follows:

• Before Permit Application: Full refund of any deposits, less a reasonable administrative fee of up to $250
• After Permit Application but Before Installation: Refund of deposit minus actual costs incurred for permitting, engineering, and material procurement
• During Installation: Customer is responsible for all costs incurred to date, including materials delivered, labor performed, and any restocking fees
• After Installation Completion: No refund is available after system activation, as the installation service has been fully rendered
• You have a 3-business-day right of rescission from the date of contract signing, during which you may cancel for any reason and receive a full refund

13. Indemnification

You agree to indemnify, defend, and hold harmless Zontrivexa, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your violation of these Terms, your use of our Services, your breach of any representation or warranty made by you, your violation of any applicable law, or any content or information you provide to us.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or our Services shall be resolved as follows:

• Informal Resolution: The parties shall first attempt to resolve any dispute informally by contacting Zontrivexa customer service within 30 days of the issue arising
• Mediation: If informal resolution fails, the parties agree to participate in non-binding mediation administered by a mutually agreed-upon mediator in Denver, Colorado
• Arbitration: If mediation is unsuccessful, any remaining disputes shall be resolved through binding arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association
• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions

15. Force Majeure

Zontrivexa shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government restrictions, supply chain disruptions, labor disputes, utility outages, or any other event beyond our reasonable control. In such cases, our obligations will be suspended for the duration of the force majeure event, and installation timelines will be extended accordingly.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any individual installation contracts, constitute the entire agreement between you and Zontrivexa regarding the use of our Services. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter herein.
